Non-Executive but active Director
John Masters is passionate about good corporate management at the Board level and offers to add focus and hard work to any Board. Venture capital backed companies frequently lack a board member who is expressly charged with undertaking generic tasks on behalf of the board (as listed below) or in some cases the appointed director is unfamiliar with some of the dynamics witnessed on boards of VC-backed companies because they are accustomed to much larger publicly owned company boards. John Masters offers Boards his participation with the following activities:
- Management remuneration (comp committees typically lack an active member who proactively keeps on top of the ever changing dynamics that drive management incentives by making detailed and thought through proposals for the committee's consideration)
- Development of the board process itself, proactively polling board members on their preferences and working with management to evolve the board format in line with best practice and director feedback.
- Volunteering to do hard work required in relation to board projects such as recruiting senior management (e.g. coordinating a selection process for a search firm and negotiating the details of a mandate and working with the lawyers on the details of the selected candidates contract etc), M&A, company wind-down.
